Futures Analytica LLC Universal End-User License Agreement (EULA)
This End-User License Agreement (“Agreement” or “EULA”) is a legal contract between you (the “User” or “Licensee”) and Futures Analytica LLC (the “Company” or “Licensor”), governing your use of all proprietary software tools, trading strategies, and indicators provided by Futures Analytica LLC, including but not limited to L2Azimuth, PolarityATI, AnalyticaChart, and all associated add-ons and documentation (collectively, the “Software”).
By installing, downloading, activating, or using any part of the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Software.
Futures Analytica LLC is a company organized and operating in the United States and strives to comply with all applicable U.S. federal, state, and local laws. Users accessing our services from outside the United States acknowledge that the primary governing law is U.S. law as specified in this Agreement, subject to any mandatory consumer rights that cannot be waived under their local laws.
This EULA applies worldwide to Users in the United States and internationally. Users are responsible for ensuring that use of the Software is lawful in their own country and compliant with all local regulations and trading rules. If any portion of this EULA is prohibited by local law, the rest of the EULA remains in effect. The headings and section titles in this Agreement are for convenience and readability only and do not affect the interpretation of any provision.
1. Grant of License
License Grant: Subject to your compliance with this Agreement and payment of any applicable fees, Futures Analytica LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software on your authorized device or trading platform for your own internal purposes. This license allows use by a single individual; if you purchased a multi-user or enterprise license (if offered), the Software may only be used by the number of users or on the number of devices expressly permitted by that license.
- You may install and use the Software on compatible systems (e.g. a PC running a supported operating system and trading platform) under your control. You are responsible for meeting the Software’s system requirements (such as the correct version of NinjaTrader® and Windows OS, if applicable) and for maintaining the security of your devices and accounts.
- Revocability: Futures Analytica LLC reserves the right to revoke or terminate this license at any time as described in Section 10 (Termination) if you violate the terms of this Agreement or for other lawful reasons. The license is granted, not sold – you are acquiring only the right to use the Software in accordance with this EULA, and no ownership or title to the Software is transferred to you.
2. Intellectual Property Rights
Ownership: The Software (including all content, code, algorithms, features, and documentation) is the intellectual property of Futures Analytica LLCand is protected by copyright, trade secret, and other intellectual property laws. All rights not expressly granted to you in this EULA are reserved by Futures Analytica LLC. This means Futures Analytica LLC retains all ownership and intellectual property rights in and to the Software, including any modifications, derivative works, or improvements. You may not claim any ownership interest in the Software. Product names, logos, and trade names (such as L2Azimuth™, PolarityATI™, AnalyticaChart™) are trademarks or service marks of Futures Analytica LLC or its partners. This Agreement does not grant you any rights to use Futures Analytica LLC’s trademarks, except as needed to identify the Software for permitted use.
No Transfers or Assignments: You may not transfer, sell, rent, lease, sublicense, or assign the Software or this license to any other person or entity without prior written consent from Futures LLC. Any attempt to transfer or share the license (for example, distributing your license key or allowing others to access the Software under your credentials) is a material breach of this Agreement. License transfers and resales are strictly prohibited and may result in immediate termination of your license, without refund, and potential legal action for copyright infringement.
3. Permitted Uses and Restrictions
Authorized Use: You may use the Software only for your personal or internal business purposes in connection with trading or market analysis. If the Software is designated for use with specific third-party platforms (for example, the NinjaTrader® trading platform), you must use it only as intended within those platforms and in accordance with their rules and policies.
Prohibited Uses: You agree NOT to do any of the following with the Software or any portion of it:
- No Unauthorized Copying or Distribution: You may not copy, reproduce, or distribute the Software or any part of it except for making a single backup copy for personal archival purposes. Redistributing or sharing the Software (including posting it online, or making it available to others) is strictly prohibited without express permission.
- No Modification or Derivative Works: You may not modify, alter, adapt, translate, or create derivative works based on the Software, nor merge it into other software, except to the limited extent (if any) expressly allowed by Futures Analytica or applicable open-source licenses for components (if indicated).
- No Reverse Engineering: You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive or access the source code or underlying trade secrets of the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction.
- No Unauthorized Access or Circumvention: You may not bypass or disable any license management, authentication, or security features of the Software. This includes prohibitions on tampering with license keys, encryption, or using any unauthorized techniques to extend or expand your usage beyond what is licensed.
- No Illegal or Prohibited Activities: You may not use the Software in any manner that violates any applicable local, state, national, or international law or regulation, or any rules of trading exchanges or regulatory bodies. It is strictly forbidden to use the Software for any fraudulent activity, market manipulation, or any activity that requires governmental authorization which you do not have. Using the Software in a way that breaches trading rules, or in jurisdictions where such tools are not allowed, is a violation of this EULA.
- No Third-Party Use: You may not allow any third party to use or benefit from the Software (e.g. on a service bureau or time-sharing basis, or by operating it for others’ trading accounts) without a specific license extension from Futures Analytica. The Software is licensed only to you as the end-user.
- No Removal of Notices: You may not remove, alter, or obscure any proprietary notices (such as copyright notices, trademarks, or disclaimers) that appear on or within the Software or related materials.
Any use of the Software outside the scope of the permitted license or in breach of these restrictions will immediately terminate your license rights (see Section 10) and may constitute copyright infringement or violation of law.
4. Installation, Activation, and Environment
Activation: Use of the Software may require entering a license key, linking to a machine ID, or other activation mechanism provided by Futures Analytica LLC. You agree to follow the activation procedures provided. The license is generally limited to a specified number of installations or devices (e.g. one machine ID per license, unless otherwise stated). If you need to transfer the Software to a new machine or make significant hardware changes, you may be required to request a license transfer or reactivation approval from Futures Analytica (at the Company’s discretion).
System Compatibility: The Software may operate as an add-on or plugin to third-party trading platforms (for example, it is compatible with NinjaTrader® for certain products) or require specific operating systems and hardware. Futures Analytica does not guarantee that the Software will be compatible with all versions or updates of third-party platforms or systems. While the Company will endeavor to inform users of supported platforms and versions, you are responsible for using the Software in a supported environment (e.g. correct version of NinjaTrader, Windows OS, required hardware specifications). Compatibility with any third-party services (such as broker data feeds or hosting services) is not guaranteed, and those third-party services are governed by their own terms.
Third-Party Services (VPS and Others): Futures Analytica LLC may suggest or recommend the use of certain third-party services (for example, a Virtual Private Server “VPS” for running the Software continuously, or specific brokers or data feeds for optimal performance). These recommendations are provided for convenience and informational purposes only, and the Company does not warrant or take responsibility for the services provided by third parties. If you choose to use a VPS or any third-party hosting or support service, you do so at your own risk. Any third-party software or service (including the NinjaTrader platform) is subject to that third party’s license or terms of use; Futures Analytica is not responsible for their performance, reliability, or security. You are solely responsible for any fees, compliance, or obligations associated with third-party services you utilize alongside the Software.
Updates and Patches: From time to time, Futures Analytica may provide updates, upgrades, or patches to the Software. Such updates may be necessary to maintain compatibility with platform changes or improve functionality. This EULA will govern any such updates unless the update is accompanied by a new license agreement. Futures Analytica reserves the right to decide whether to release updates or continue development of the Software. Users should keep their Software updated to the latest version for best performance and security. Technical Support (if offered) may be conditioned on using a current version.
Support Scope: Futures Analytica LLC may offer technical support or customer service for the Software via email, forums, or other channels, but such support is provided on an “as-available” basis. While we strive to help users resolve issues, we do not guarantee any specific response times or that every issue can or will be resolved. Support may be limited to certain hours or certain types of inquiries (e.g., installation and basic usage help). The Company reserves the right to determine the scope of support services and to discontinue support for older versions or products after a reasonable time.

5. No Financial Advice; Educational and Informational Purpose Only
No Investment Advice: You acknowledge and agree that Futures Analytica LLC is not providing any investment, financial, tax, or trading advice through the Software or any related communications. All signals, analyses, charts, or indicators generated by the Software are for educational and informational purposes only and should not be construed as personalized investment advice or a recommendation to buy, sell, or hold any financial instrument. The Software may provide technical analysis or automated strategy execution based on predefined algorithms, but you are solely responsible for all trading decisions you make. Always carefully evaluate trades and, if needed, consult a licensed financial advisor before making any investment decisions.
CFTC Rule 4.14(a)(10) Compliance: Futures Analytica LLC and its personnel are not registered as Commodity Trading Advisors or Investment Advisers. The Company provides software and educational content under applicable exemptions from registration, including (where applicable) the U.S. Commodity Futures Trading Commission (CFTC) Rule 4.14(a)(10). Under this exemption, a person who, over the past 12 months, has provided commodity trading advice to no more than 15 persons and does not hold itself out generally to the public as a CTA is not required to register as a commodity trading advisor. In line with this rule and other regulations, any analysis or trading strategy provided by the Software is incidental to the educational services offered. Nothing in the Software’s operation constitutes general solicitation or holding out as an advisor. By using our Software, you acknowledge that Futures Analytica is not acting in a fiduciary capacity or providing individualized advice tailored to your particular situation.
No Fiduciary Relationship: This Agreement and your use of the Software do not create any fiduciary, advisory, or agency relationship between you and Futures Analytica LLC. The Company has no responsibility for advising you about the suitability of any trade, strategy, or investment. You alone are responsible for evaluating the merits and risks of using the Software’s outputs in your trading. You agree that you will not interpret any features of the Software – including automated trade executions, suggestions, alerts, or educational content – as personalized recommendations. The Software is a tool to be used at your discretion, and you assume all responsibility for how you use it.
User’s Independent Judgment: You should use your own professional judgment or seek advice from a qualified financial advisor to determine whether any trading strategy or financial instrument is appropriate for you, given your financial situation, experience, and risk tolerance. Past performance (including any historical results or examples that might be shown in the Software or on our website) is not indicative of future results, and you should not assume that any strategy will be profitable or that it will not result in losses (see Risk Disclosure below).
6. Risk Disclosure and Assumption of Risk
Trading in futures, options, foreign currencies, stocks, cryptocurrencies, or any financial instruments carries significant risk. By using the Software, you acknowledge and accept the following risk disclosures:
- High Risk of Loss: Futures trading involves substantial risk and is not appropriate for every investor. The markets can be volatile, and use of leverage can result in losses exceeding your initial investment. You understand that an investor could potentially lose all or more than the initial investment when trading futures or other leveraged instruments. Only trade with money you can afford to lose.
- Risk Capital Only: You should use only “risk capital” when trading with the aid of the Software. Risk capital is funds that can be lost without jeopardizing your financial security or lifestyle. Only those with sufficient risk capital should consider trading. If you do not have risk capital to lose, you should not use this Software or engage in live trading of futures or similar instruments.
- Market Volatility and No Guarantees: Markets can be highly volatile. There are no guarantees that the Software’s algorithms or signals will be profitable or protect you from losses. The Software may generate trade signals or execute trades that result in losses. No trading program, no matter how advanced, can eliminate the risk of market volatility or predict market movements with certainty. You must be prepared for the possibility of large, rapid swings in the value of your investments.
- Past Performance Not Indicative: Any performance results, back-testing, or examples of trading outcomes that may be presented (hypothetical or actual) are for illustration only. Past performance is not necessarily indicative of future results. Hypothetical performance results have many inherent limitations – they may not reflect actual trading conditions, and real trading can be affected by factors such as emotional decision-making, slippage, liquidity, or platform outages that are not captured in simulations. No representation is being made that you will or are likely to achieve profits or losses similar to those shown in any examples.
- User Responsibility for Monitoring: You are responsible for monitoring your trades and positions. The Software might be fully or semi-automated, but you must supervise its operation, ensure it is running in the correct market conditions, and be ready to intervene or shut it off if necessary. Do not leave your trading completely unattended to the extent that you cannot manage risk – technology can fail, and strategies can produce unexpected results under certain market conditions.
- No Risk Reduction Guarantee: Using the Software does not guarantee that your risk is reduced compared to trading without it. All trading strategies, including those automated by the Software, can incur losses. By using the Software, you accept all risks inherent to trading and the additional risks that come with using an automated or algorithmic tool.
By proceeding to use the Software, you affirm that you have read and understood these risk disclosures, and that you are willing and able to assume the financial risks involved. If you are not comfortable with these risks, you should not use the Software for live trading. Futures Analytica strongly encourages testing the Software in a simulation or demo trading environment before using real funds, and to always trade responsibly and within your means.
7. User Responsibilities and Compliance
Compliance with Laws and Rules: You agree to use the Software in compliance with all laws, regulations, and rules that apply to you. This includes, without limitation, financial services laws, commodity and securities regulations, data privacy laws, and any rules of exchanges or regulatory organizations relevant to your trading activities. You are responsible for obtaining any authorization or registration that may be required for your trading activities in your jurisdiction. For example, if you are using the Software to trade futures, you must ensure you comply with rules of the Commodity Futures Trading Commission (CFTC) or equivalent regulators if applicable, and any applicable exchange (such as the CME) or broker requirements. Futures Analytica is not responsible for your compliance with any such laws and rules. If using the Software would violate any law in your region (for instance, if algorithmic trading tools are restricted or if you are in a country subject to U.S. export controls or sanctions), you must not use the Software.
Account and Security: You are responsible for maintaining the confidentiality of any account credentials, license keys, or authentication mechanisms associated with the Software. Do not share your login or license information. You must promptly notify Futures Analytica LLC at support@futuresanalytica.com if you suspect unauthorized use of your license or the Software. The Company may, in its discretion, disable or refuse to transfer licenses if misuse or unauthorized sharing is detected.
Data and Privacy: The Software or its usage may involve the processing of data (such as market data, trading signals, or your personal data). Futures Analytica LLC may collect limited personal information necessary to provide the license or support (per our Privacy Policy). By using the Software, you consent to such collection and processing in accordance with applicable law. You are also responsible for ensuring your own trading data or strategies are backed up, as the Company is not liable for any loss of data.
Trading and Tax Obligations: You are solely responsible for the results of using the Software in trading. This includes any trading losses, tax liabilities, or reporting obligations that arise from your trading. Futures Analytica does not monitor or file reports on your behalf. You must maintain your own records of trades and comply with any tax or regulatory reporting duties applicable to you.
Indemnification: To the maximum extent permitted by law, you agree to indemnify and hold harmless Futures Analytica LLC, its affiliates, employees, and agents from and against any and all claims, liabilities, losses, and expenses (including attorneys’ fees) arising out of or in connection with your use of the Software or your violation of this Agreement. This includes, for example, any third-party claims that your trading activities using the Software were unlawful or violated someone’s rights, or any claims arising from your failure to comply with applicable laws or regulations in using the Software. Futures Analytica reserves the right to assume the defense of any claim subject to indemnification, at your expense, and you agree to cooperate with our defense of such claims.
8. Warranty Disclaimers
“As Is” Software: The Software is provided “AS IS” and “AS AVAILABLE,” without warranty of any kind. Futures Analytica LLC disclaims all warranties and conditions, express or implied, to the fullest extent permitted by law. This includes, but is not limited to:
- No Warranty of Performance or Results: Futures Analytica LLC does not warrant that the Software will meet your requirements or achieve any particular results or outcomes. The Company makes no guarantee of profitability or success from use of the Software. You accept that any trading results are solely dependent on many factors beyond the Software, including market conditions and your own decisions.
- No Warranty of Accuracy or Reliability: Futures Analytica LLC does not warrant that the information, signals, or indicators generated by the Software are accurate, complete, or reliable. All information and outputs are used at your own risk. The Software’s analyses may contain errors, omissions, bugs, or inaccuracies. Any reliance on the Software’s data or output is at your discretion.
- No Warranty of Uptime or Error-Free Operation: Futures Analytica LLC does not guarantee that the Software (or any related website or service) will be uninterrupted, timely, secure, or error-free. We do not warrant that any defects will be corrected or that the Software will be free of viruses or other harmful components. You assume all responsibility for installation and usage, including any damage to your hardware, software, or data.
- Implied Warranties: All implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, and any arising from course of dealing or usage of trade are expressly disclaimed. In some jurisdictions that do not allow the exclusion of certain warranties, our liability for any implied warranty is limited to the minimum duration allowed by law.
- Not for Purpose Requiring Fail-Safe Performance: The Software is not designed or licensed for use in inherently dangerous activities or environments requiring fail-safe performance (such as operation of nuclear facilities, life-support systems, or aviation navigation). Futures Analytica specifically disclaims any express or implied warranty of fitness for such purposes.
Your Responsibility: You assume the entire risk as to the quality and performance of the Software. Should the Software prove defective or unsatisfactory, you assume the full cost of all necessary servicing, repair, or correction. Futures Analytica may provide guidance or support to assist you, but such assistance does not constitute a warranty.
9. Limitation of Liability
To the maximum extent permitted by law, in no event shall Futures Analytica LLC or its principals, affiliates, developers, or suppliers be liable for any indirect, incidental, special, consequential, or exemplary damages whatsoever, arising out of or in connection with this Agreement or your use of (or inability to use) the Software. This limitation of liability applies to any damages for lost profits, lost data, trading losses, loss of goodwill, business interruption, loss of business opportunity, or other intangible losses, even if we have been advised of the possibility of such damages.
In particular, Futures Analytica LLC shall not be liable for any financial losses or damages resulting from your use of the Software. You acknowledge that you use the Software entirely at your own risk and that the Software does not guarantee any specific trading outcomes. The Company will not be responsible for claims or damages arising from: (a) errors or miscalculations by the Software; (b) missed trading opportunities or trades executed by the Software that you might consider unfavorable; (c) Software downtime or unavailability, including any technical malfunction, connectivity issues, or errors in data feeds; (d) unauthorized access to or alteration of the Software by a third party (e.g., hacking); or (e) any decisions you make (or refrain from making) based on information from the Software.
Cap on Liability: If, notwithstanding the above disclaimers, Futures Analytica is found liable to you for any damage or loss arising from your use of the Software or this Agreement, the total aggregate liability of the Company (and its affiliates and partners) shall not exceed the amount you paid to Futures Analytica LLC for the specific Software or service that gave rise to the liability. If the Software was provided to you free of charge, the Company’s total liability shall not exceed US $50.00. This limitation is cumulative and not per-incident. The existence of multiple claims or suits under or related to this EULA will not enlarge or extend the limitation.
Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities (for example, certain states do not allow the exclusion of incidental or consequential damages, or there are limitations on excluding liability for personal injury caused by negligence). In such jurisdictions, the above limitations shall apply to the fullest extent permitted by law, and Futures Analytica LLC’s liability will be limited to the minimum amount allowed by the relevant law. Nothing in this EULA is intended to limit or exclude liability that cannot be limited or excluded under applicable law (for example, certain statutory liabilities or liabilities for willful misconduct may not be excludable).
User’s Acknowledgment: You acknowledge that the fees (if any) charged for the Software reflect this allocation of risk and the limitation of liability specified herein, and that Futures Analytica LLC would not be able to offer the Software on an economically feasible basis without such limitations. This section is an essential part of the bargain between us.
10. Termination
Termination by Futures Analytica LLC: This Agreement is effective from the moment you accept it (or first install/use the Software) and will remain in effect until terminated. Futures Analytica LLC may terminate this EULA and your license to the Software immediately and without prior notice if you fail to comply with any term of this Agreement. For example, any breach of the license restrictions (Section 3) or intellectual property provisions, any unauthorized sharing or reverse engineering, or any violation of the No Advice or Risk Disclosure terms can result in immediate termination of your rights under this EULA. The Company may also terminate this license if required to do so by law (for instance, due to changes in regulation that make continuing the license illegal) or if the Company ceases to offer the Software. In a subscription or trial context, the license may terminate automatically at the end of the subscription period or trial term unless renewed.
Termination by You: You may terminate this Agreement at any time by permanently discontinuing use of the Software and destroying all copies of the Software in your possession or control. If you wish to cancel a subscription, you must do so according to the Company’s cancellation policy (e.g., by providing notice via email as instructed). Simply uninstalling the Software without notice may not terminate recurring billing, so please follow the official cancellation process.
Effect of Termination: Upon any termination of this EULA for any reason: (a) all rights granted to you under this Agreement will immediately cease, and you must stop using the Software; (b) you must uninstall and delete all copies of the Software from your devices and destroy any backup copies, within 10 days of termination (or as otherwise instructed by the Company); and (c) Sections of this Agreement that by their nature should survive termination (including but not limited to disclaimers of warranty, limitation of liability, intellectual property protections, confidentiality obligations, dispute resolution, and governing law) shall survive. Termination of this Agreement does not entitle you to any refund of fees paid, except as explicitly provided in Section 11 or required by applicable law.
Futures Analytica LLC reserves the right to remotely disable or render inoperable the Software if your license is terminated or expires, as a means of enforcing this EULA.
11. Refunds and Return Policy
Digital Products – No Refund After Activation: All sales of Software licenses and digital products are final upon delivery or activation. Once you have been issued a license key, download link, machine ID registration or have otherwise been granted access to the Software, you are not eligible for a refund of any fees paid, except where required by law or expressly provided by an authorized Refund Policy. Futures Analytica LLC’s products are digital and contain proprietary algorithms and sensitive information; therefore, they cannot be “returned” in the way physical goods can. By purchasing and activating the Software, you acknowledge that you waive any right to cancel or obtain a refund once access is provided. This policy is necessary to protect our intellectual property and maintain fairness (since the value of the Software is realized immediately upon access).
Limited Exception – AnalyticaChart Products (if applicable): If Futures Analytica LLC has a specific refund guarantee for certain products (for example, a 14-day satisfaction guarantee for the AnalyticaChart software, as indicated in our published Refund Policy, then those terms apply as an exception to the above “no refund” rule. Such exceptions, if offered, will be clearly stated at the time of purchase for the specific product. In the absence of an explicit guarantee for your product, no refund will be provided.
Subscription Cancellations: If you have purchased the Software on a subscription basis (e.g., monthly or quarterly billing), you may cancel future renewals as described in your purchase terms (usually by emailing support or using an account portal). No pro-rated refunds will be given for the remaining period of a subscription already paid, unless required by law or explicitly stated. Your access will continue until the end of the paid term after cancellation, and then the license will terminate (see Section 10). Futures Analytica LLC adheres to the U.S. FTC’s “Click to Cancel” rules, meaning cancellation is made easy without undue hurdles.
Chargebacks and Unauthorized Payments: If you initiate a chargeback or dispute a payment for the Software with your bank or payment provider, Futures Analytica LLC reserves the right to immediately terminate your license and refuse any future service, as chargebacks are considered a violation of this payment obligation. If you have an issue with the product, you agree to contact Futures Analytica LLC support to seek resolution instead of initiating a chargeback.
Policy on Abuse: Refund requests made in bad faith or attempts to exploit any satisfaction guarantees (such as using the Software extensively and then seeking a refund for reasons unrelated to product performance) will be denied. Futures Analytica LLC also reserves the right to deny any future purchases or terminate licenses if a User is found to be abusing any refund or trial policies.
This refund policy is made part of the EULA. By agreeing to the EULA and completing a purchase, you acknowledge that you have read and agree to the Refund Policy and that digital products are non-refundable after activation/download. If you do not agree, do not purchase or use the Software.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. However, if you are a consumer residing outside the United States, you may have certain mandatory rights under your country’s consumer protection laws that apply in addition to, or instead of, some U.S. laws.
Mediation Requirement
Before initiating any litigation, the parties agree to attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or the Software through mediation with a neutral mediator. Mediation shall be completed within sixty (60) days of a written request for mediation. The parties will share equally in the mediator’s fees. Mediation may be conducted remotely if mutually agreed.
Exceptions — Small Claims and Injunctive Relief
Either party may bring an individual claim in a small claims court in Delaware if it qualifies. Additionally, Futures Analytica may seek injunctive or equitable relief in a state or federal court in Delaware to protect its intellectual property or confidential information.
Jurisdiction and Venue
If mediation is unsuccessful, any legal proceeding shall take place exclusively in the state or federal courts located in New Castle County, Delaware, USA, and both parties consent to the personal jurisdiction and venue of those courts.
Class Action Waiver
All disputes must be resolved on an individual basis. You and Futures Analytica agree not to bring any claim as a plaintiff or class member in a class, collective, or representative action. If a court determines this class action waiver is unenforceable, the dispute shall proceed on an individual basis to the fullest extent permitted by law.
Waiver of Jury Trial
You and Futures Analytica waive the right to a trial by jury for any dispute covered by this Agreement.
International Users
If you reside outside the United States, you agree that the above process applies to you, except where mandatory consumer laws in your home country provide additional protections. Nothing in this Agreement prevents you from raising a complaint with your local consumer protection authority where permitted by law.
13. Miscellaneous Provisions
Entire Agreement: This EULA (along with any additional terms explicitly referenced herein, such as the Refund Policy and any product-specific terms at the time of purchase) constitutes the entire agreement between you and Futures Analytica LLC regarding the Software, and supersedes all prior or contemporaneous understandings or agreements, whether written or oral, relating to the Software. No oral or written information or advice given by the Company or its representatives shall create any additional warranty or obligation beyond those expressly stated in this Agreement.
Amendments: Futures Analytica LLC may update or modify this EULA from time to time. In such case, we will notify users by posting the updated Agreement on our website (and/or within the Software or by email, if such contact information is available) and indicating the date of the latest revision. Continued use of the Software after an updated EULA becomes effective constitutes your acceptance of the modified terms. If you do not agree to the revised terms, you must stop using the Software and may request termination (subject to Section 11 on refunds, if applicable). Except as expressly provided herein, this EULA may not be amended or modified except in a writing signed by both you and an authorized representative of Futures Analytica LLC.
Severability: If any provision of this EULA is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of this Agreement will remain in full force and effect. The parties shall negotiate in good faith a valid, enforceable substitute provision that most nearly effects the parties’ original intent in entering into this Agreement, or if negotiation is not possible, a court may modify the provision to the minimum extent necessary to make it enforceable.
No Waiver: No failure or delay by Futures Analytica LLC in exercising any right or remedy under this EULA shall operate as a waiver of that right or any other right. Any waiver of rights by the Company must be explicit and in writing. A single or partial exercise of a right or remedy by Futures Analytica LLC does not preclude further exercise of that or any other right or remedy.
Assignment: You may not assign or transfer this Agreement or any of your rights or obligations hereunder (by operation of law or otherwise) without the prior written consent of Futures Analytica LLC, and any attempt to do so in violation of this restriction is null and void. Futures Analytica LLC may freely assign this Agreement or delegate its obligations in whole or part to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
Export and Sanctions Compliance: The Software may be subject to United States export control and economic sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or region that is embargoed by the U.S. (such as Cuba, Iran, North Korea, Syria, or the Crimea region, as of the Effective Date) and that you are not on any U.S. government list of prohibited or restricted parties. You agree not to export, re-export, or transfer the Software to any such countries or persons in violation of law, and you shall not use the Software for any purpose prohibited by U.S. law, including nuclear, chemical, or biological weapons proliferation, or missile development.
No Third-Party Beneficiaries: This EULA is intended for the benefit of you and Futures Analytica LLC, and not for any other person. No other person or entity shall have any rights under this Agreement as a third-party beneficiary or otherwise.
Notices: All notices required or permitted under this EULA to Futures Analytica LLC shall be in writing and delivered to compliance@futuresanalytica.com/legal@futuresanalytica.com (with a copy to our registered business address, if provided on our website). Any notices to you may be given either via email to the address you provided at purchase/registration or through the Software or website user interface. Notices are deemed given when sent (for email) or on posting (for website/Software notifications), although we will attempt to use the most direct method for important notices.
Relationship of Parties: You and Futures Analytica LLC are independent contracting parties. This Agreement does not create any partnership, joint venture, employment, franchise, or agency relationship between the parties. You do not have any authority to assume or create any obligation for or on behalf of the Company, express or implied, and you shall not attempt to bind the Company to any contract.
Feedback: If you provide any feedback, suggestions, or ideas regarding the Software to Futures Analytica (“Feedback”), you hereby grant the Company a perpetual, worldwide, fully transferable, sublicensable, irrevocable, royalty-free license to use, implement, copy, modify, distribute, and incorporate such Feedback into the Software or any of the Company’s other products or services, without any obligation to compensate you. You represent that any such Feedback is non-confidential and given voluntarily.

Acknowledgment: You acknowledge that you have read and understood this EULA, including the Risk Disclosure and No Advice sections, and agree to be bound by all its terms and conditions. You also acknowledge that this EULA is a legally binding agreement between you and Futures Analytica, and that your use of the Software is contingent upon your acceptance of this Agreement.
By clicking “I Agree” (or an equivalent prompt) or by installing/using the Software, you indicate your assent to this Agreement. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not agree with these terms, you must not use the Software.
